Terms of Use

These Terms of Use ("Terms") outline the rules for using our website, apps, and other products and services ("Services"). Please read these Terms thoroughly and contact us if you have any questions, need information, or wish to file a complaint. By clicking "I accept" (or, for those who have not yet created an account, by using our Services), you agree to adhere to these Terms, including the policies mentioned within. By using our Services, you agree to comply with these Terms and the referenced policies.

1. Using our Services

Eligibility to Use Our Services

You may use our Services only if you:

  • Can enter into a binding contract with United Seafarers Maritime Center Inc.;
  • Comply with these Terms, all applicable laws, and our policies (including the Honor Code, course - specific eligibility requirements, and any other relevant policies); and
  • Are over the age required to give consent for data processing according to the laws of your country. Certain regions and Content Offerings may have additional requirements or different age restrictions.

Any breach of our Terms, applicable laws, or Policies may result in your access to all or part of the Services being suspended, disabled, or terminated.

Our License to You

In  accordance with  these  Terms  and  our  Policies,  we  grant  you a  limited, personal,  non -exclusive, non- transferable, and revocable license to use our Services. These rights are granted solely for your personal, non - commercial use, unless you receive written permission from us. You also agree to create, access, and use only one user account, unless explicitly allowed by United Seafarers Maritime Center, Inc., and you will not share your account or its access information with any third party. Using our Services does not grant you ownership of or any intellectual property rights in the Services or the content you access.

Commercial Use

Any use of our Services for commercial purposes is strictly prohibited unless it is governed by a separate agreement with United Seafarers Maritime Center, Inc.

2. Content Offerings

Changes to Content Offerings

United Seafarers Maritime Center, Inc. provides courses and content ("Content Offerings") developed by us and other providers ("Content Providers"). We reserve the right to cancel, interrupt, reschedule, or modify any Content Offerings, or adjust the point value or weight of any assignment, quiz, or other assessment, either at our sole discretion or according to the guidelines of the Administration and other accepted references.

3. Your Content

User Content

Our Services allow you to share content, such as homework, quizzes, exams, projects, assignments, forum posts, and similar materials ("User Content"), with United Seafarers Maritime Center, Inc., instructors, assessors, and/or other users. You retain all intellectual property rights in the User Content you create and share and are responsible for it. User Content does not include course content or other materials made available on or uploaded to the United Seafarers Maritime Center, Inc. platform. Content Offerings between United Seafarers Maritime Center, Inc. and Content Providers are governed by relevant agreements between them. We reserve the right to remove or modify User Content for any reason, including content that we believe violates these Terms or other policies, including our Code of Conduct.

Feedback

We welcome your suggestions, ideas, comments, and other feedback regarding the Services ("Feedback"). By submitting any Feedback, you grant us the right to use it without any restriction or compensation to you. By accepting your Feedback, United Seafarers Maritime Center, Inc. does not waive any rights to use similar or related Feedback previously known to us, developed by our employees or contractors, or obtained from other sources.

Security

We prioritize the security of our users. While we strive to protect your account and related information, we cannot guarantee that unauthorized third parties will not breach our security measures. Through our Services, you may access content provided by instructors, other users, third parties, and links to third-party websites and services. We cannot guarantee that this third-party content, whether in our Services or elsewhere, will be free from material you may find objectionable, inappropriate, or from malware and other contaminants that could harm your computer, mobile device, or files. We disclaim any responsibility or liability related to your access or use of, or inability to access or use, such third -party content.

5. Copyright and Trademark

United Seafarers Maritime Center, Inc. respects the intellectual property rights of users, Content Providers, and third parties, and expects users to do the same when using our Services. We have adopted and implemented a Copyright and Trademark Policy in accordance with applicable law.

6. Modifying or Terminating our Services

We continually improve our Services and may add or remove functions, features, or requirements. We may also suspend or discontinue parts of our Services altogether. Accordingly, we may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available as per our Refund Policy. We may be unable to deliver Services to certain regions or countries due to various reasons, including export control requirements or internet access restrictions imposed by governments.

7. Export Controls

You affirm that you are not located in or ordinarily reside in any country subject to Philippine laws and regulations that prevent United Seafarers Maritime Center, Inc. from providing access to the Services. Your location is determined by your physical presence. Using a virtual private network (VPN), IP routing services, or similar methods to circumvent these laws is strictly prohibited.

You  confirm  that  you  are  not  listed  on  any  government-prohibited,  denied,  unverified-party,  sanctions, debarment, exclusion list, or export-controlled restricted party list ("Sanctions Lists"). If you are placed on any Sanctions List, you will immediately stop using the Services. Additionally, you confirm that you will not export, re-export, or transfer the Services to any entity on a Sanctions List or use the Services in violation of applicable laws.

United Seafarers Maritime Center, Inc. reserves the right to terminate any obligations to you immediately if you breach the terms in this section.

8. Indemnification

You agree to indemnify, defend, and hold harmless United Seafarers Maritime Center, Inc. Parties from any claims, liabilities, expenses, and damages (to the extent attributable to you under applicable law), including reasonable attorneys' fees and costs, arising from: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or third-party rights; or (c) User Content, including any claim of intellectual property infringement or misappropriation.

9. Governing Law and Venue

The Services are managed by United Seafarers Maritime Center, Inc., located in Pasay City, Philippines. These Terms will be governed by Philippine law, excluding its conflict of law provisions. Any dispute related to these Terms that is not subject to binding arbitration will be submitted to the personal jurisdicti on of and exclusive venue in the courts located in and serving Pasay City, Philippines.

10. General Terms

Revisions to the Terms

We may update these Terms at our discretion at any time. Any changes will take effect immediately upon posting. For significant changes, we will make reasonable efforts to inform you through a website banner, email, or other means. Your continued use of the Services after changes are posted, with or without notification, means you accept the revised Terms.

Severability; Waiver

If any part of these Terms is found to be unenforceable, the remaining provisions will still apply. Failure to act immediately upon non-compliance does not mean we forfeit our rights to enforce these Terms in the future.

Content Providers

Our Content Providers and integrated service providers are third-party beneficiaries of these Terms and may enforce the provisions that pertain to them.
